Licensing Agreement

SACRAW STUDIOS: TERMS OF USE & LICENSING AGREEMENT

Effective Date: September 1, 2025

By accessing or using this website ("Site") or purchasing any content from Sacraw Studios Inc. ("we," "us," "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Site or purchase Content.

1. Ownership and Copyright

All footage, images, videos, and related materials ("Content") available on this Site are owned or licensed by Sacraw Studios Inc. and are protected by Canadian and international copyright laws. All rights not expressly granted herein are reserved.

2. License for Purchased Content

When you purchase Content, you receive a limited, non-exclusive, non-transferable license to use that Content subject to these Terms.

License Type: Royalty-Free

  • You may use licensed Content in unlimited projects worldwide.

  • One-time payment, no recurring fees.

  • Content is licensed, not sold - ownership remains with Sacraw Studios Inc.

Permitted Uses (Royalty-Free Content Only):

  • Commercial projects (advertisements, websites, videos, presentations)

  • Personal projects

  • Client work

  • Social media content for commercial accounts

  • Broadcast media

Prohibited Uses (All Content):

You may NOT:

  • Resell, redistribute, sublicense, or share Content as standalone files or stock footage.

  • Include Content in templates, NFTs, or digital assets for resale.

  • Use Content as a trademark, service mark, or logo.

  • Register Content with any copyright office or claim ownership.

  • Create pornographic, defamatory, libelous, or unlawful works.

  • Use Content in ways that suggest endorsement by Sacraw Studios Inc.

  • Extract still images from video Content for separate use.

  • Use Content after your license has been terminated.

3. Editorial Use Content

Some Content is clearly marked "EDITORIAL USE ONLY." This designation has specific legal meaning and restrictions.

What "Editorial Use" Means:

Editorial Use Content may ONLY be used in non-commercial contexts that illustrate newsworthy subjects, events, or matters of public interest.

Permitted Editorial Uses:

  • News reporting and journalism.

  • Documentary films and educational programming.

  • Blog posts and articles discussing current events or public interest topics.

  • Academic publications and textbooks.

  • Commentary and criticism.

  • Non-commercial illustration of real-world events, places, or people.

Prohibited Editorial Uses:

Editorial Use Content may NOT be used for:

  • Advertising, marketing, or promotional purposes.

  • Product packaging, merchandise, or point-of-sale materials.

  • Endorsements or sponsorships (explicit or implied).

  • Commercial social media posts or branded content.

  • Book covers, album covers, or entertainment products.

  • Websites, apps, or videos promoting products/services.

Critical Legal Limitations:

Sacraw Studios Inc. does NOT provide:

  • Model releases (permission from identifiable people).

  • Property releases (permission from property owners).

  • Trademark clearances.

  • Architectural copyright permissions.

Indemnification for Editorial Use Content:

By downloading or using Editorial Use Content, you agree to indemnify, defend, and hold harmless Sacraw Studios Inc. from any and all claims, damages, or liabilities arising from your use of the Content or failure to obtain necessary third-party permissions.

4. Errors and Omissions

Sacraw Studios Inc. does NOT warrant that all Content requiring releases or clearances is properly identified. Users must conduct their own due diligence.

5. Payment Processing

All transactions are processed through third-party payment providers. You are subject to their separate terms of service.

6. Refund Policy

Due to the nature of digital Content (immediate access upon purchase), all sales are final. Refunds are issued solely at our discretion in cases of technical defects or duplicate purchases. Refund requests must be made within 14 days to hello@sacrawstudios.com.

7. Site Use and Conduct

You agree not to bypass security features, use automated scraping tools, or attempt to reverse engineer the Site.

8. Intellectual Property Claims

If you believe Content infringes your copyright, contact us at hello@sacrawstudios.com with "Copyright Claim" in the subject line.

9. Disclaimers and Limitation of Liability

The Site and Content are provided "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SACRAW STUDIOS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes shall be resolved exclusively in the courts located in Ontario, Canada.
